How to Find Every Auto-Renewal Clause in Your Contracts

What is an auto-renewal clause?

A clause that extends a contract automatically at the end of its term, for a new term, unless one party gives notice that it won't renew. Contracts call these automatic renewal, evergreen or rollover clauses. There's no single legal definition of "evergreen"; it's a description of how the clause works.

A typical clause reads something like: "This Agreement shall automatically renew for successive one-year terms unless either party gives written notice of non-renewal at least sixty (60) days before the end of the then-current term."

That sentence holds the four facts you need:

  1. Term end date: when the current term ends
  2. Renewal term: how long it renews for
  3. Notice period: how far in advance notice must be given
  4. Notice method: written notice, to which address, by what means

Are auto-renewal clauses enforceable?

Generally yes between businesses, with some state-law exceptions worth knowing:

  • New York, General Obligations Law § 5-903. For contracts "for service, maintenance or repair to or for any real or personal property," an automatic renewal clause is unenforceable against the customer unless the provider gave written notice, "served personally or by certified mail," between 15 and 30 days before the customer's notice deadline. It doesn't apply where the renewal period is one month or less, and it covers business customers too. (NY Senate)
  • California's Automatic Renewal Law (Business and Professions Code § 17600 and following) protects consumers, meaning individuals buying for "personal, family, or household purposes." It doesn't cover business-to-business contracts. Other states have their own rules, and none of this is legal advice. The practical point stands regardless of the law: the deadline in the contract is the one you'll be held to.

How do you find auto-renewal clauses across all your contracts?

By hand: gather every signed contract in one place, then search each for "renew," "renewal," "term," and "non-renewal," and record the four facts in a spreadsheet. Text search misses scanned contracts with no text layer, and clauses that say "extend" or "successive terms" without the word renew.
