How Should Financial Advisors Organize Client Files?

How long do advisers keep client records?
Under the SEC's books and records rule, required records are kept "in an easily accessible place for a period of not less than five years from the end of the fiscal year during which the last entry was made on such record, the first two years in an appropriate office of the investment adviser." (17 CFR 275.204-2)
Two practical points follow. The clock runs from the last entry, not from when the document was created, so an active client's file can't be pruned by date alone. And "easily accessible" is much easier to show when every household folder has the same structure. State-registered advisers should check their state's rules.

What mistakes should you avoid?
- Organizing by account instead of household. Plans, meetings and correspondence span accounts, and clients ask about the household.
- Deleting former clients' files. Books and records rules run from the last entry, so keep them in Former Clients.
- Collecting tax returns by email. They carry Social Security numbers. Use a secure upload link.
- Leaving custodian downloads unsorted. Hundreds of statements a quarter can't be filed by hand reliably. Automate it.
What won't it do?
- It isn't a CRM or portfolio management system. It doesn't track assets, billing or trades.
- It doesn't archive email for books and records. Email retention needs a compliant archiving service.
- It doesn't make records immutable or apply retention schedules. It keeps documents organized and findable; your compliance program decides how they're retained.
